Classment School Management Platform

These Terms of Service ("Terms") constitute a legally binding agreement between you and Classment Technologies Private Limited ("Classment," "we," "our," or "us"), governing your access to and use of the Classment platform, including our mobile application, web portal, and associated services (collectively, the "Platform").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.


1.Definitions

For the purposes of these Terms:

(a)

"Platform" means the Classment mobile application, web-based portal, and all associated services, APIs, and features.

(b)

"School" means an educational institution that has subscribed to Classment's services.

(c)

"School Administrator" means an authorized individual managing the Platform on behalf of a School.

(d)

"Teacher" means an educator affiliated with a School who uses the Platform to manage classroom activities.

(e)

"Parent" or "Guardian" means the registered parent or legal guardian of a student who uses the Platform to track their child's academic progress.

(f)

"Student" means an enrolled student of a School whose academic records are maintained on the Platform.

(g)

"User" means any individual accessing the Platform, including School Administrators, Teachers, and Parents/Guardians.

(h)

"Academic Data" means records including attendance, examination results, grades, assignments, and report cards.

(i)

"Fee Records" means digital records of fee structures, payment due dates, and payment status maintained on the Platform for informational purposes only.


2.Acceptance of Terms

2.1 By creating an account, accessing, or using the Platform, you represent that:

(a)

You are at least 18 years of age, or have obtained parental or guardian consent;

(b)

You have the authority to enter into a binding agreement; and

(c)

Your use of the Platform complies with all applicable laws and regulations.

2.2 If you are accessing the Platform on behalf of a School or organization, you represent that you have authority to bind that entity to these Terms.

2.3 Classment reserves the right to update these Terms at any time. We will notify users of material changes through in-app notices. Continued use of the Platform after any changes constitutes acceptance of the revised Terms.


3.Platform Services

3.1 Classment provides a school management platform offering:

(a)

Student enrollment and academic profile management;

(b)

Attendance tracking and daily reporting;

(c)

Examination, assessment, and grading management;

(d)

Academic progress reports and report cards;

(e)

Assignment and homework management;

(f)

School announcements and parent-school communications;

(g)

Fee record management (digital records only — see Section 9);

(h)

Teacher management and class scheduling tools; and

(i)

Real-time bus location tracking for parents, using GPS data transmitted from Driver accounts during active school trips only.

3.2 Platform availability is provided on a best-efforts basis. We do not guarantee uninterrupted access and may perform scheduled or emergency maintenance at any time.


4.User Accounts and Authentication

4.1 Access to the Platform is authenticated via a One-Time Password (OTP) sent to your registered mobile number. You are responsible for ensuring your mobile number remains current and accessible.

4.2 You agree to:

(a)

Maintain the confidentiality of any OTP and session tokens;

(b)

Immediately notify your School Administrator if you suspect unauthorized access to your account;

(c)

Not share your account access with any third party; and

(d)

Log out after each session, particularly on shared or public devices.

4.3 Classment is not liable for any loss or damage arising from unauthorized access due to your failure to protect your account.

4.4 User accounts are created and managed exclusively by School Administrators. Users cannot self-register; access is granted only through an authorized School's enrollment process.


5.User Responsibilities

5.1 All Users agree to:

(a)

Provide accurate and up-to-date information at the time of enrollment;

(b)

Use the Platform solely for its intended educational and administrative purposes;

(c)

Comply with all applicable laws, regulations, and these Terms;

(d)

Respect the privacy and dignity of all students, parents, teachers, and school personnel.

5.2 School Administrators additionally agree to:

(a)

Ensure only authorized individuals are granted access to the Platform;

(b)

Maintain the accuracy of all student, parent, and teacher records;

(c)

Manage access permissions appropriately and revoke access promptly when a user's role changes; and

(d)

Comply with applicable data protection obligations for their School.

5.3 Teachers additionally agree to:

(a)

Input accurate and timely academic data (attendance, marks, assignments);

(b)

Use the Platform only for legitimate educational purposes; and

(c)

Not access student data beyond what is necessary for their role.

5.4 Parents and Guardians additionally agree to:

(a)

Use the Platform solely to monitor the academic progress of their linked child;

(b)

Not attempt to access data belonging to other students; and

(c)

Report any inaccuracies in their child's records to the School Administrator.


6.Acceptable Use Policy

6.1 You agree NOT to:

(a)

Use the Platform for any unlawful, fraudulent, or malicious purpose;

(b)

Attempt to gain unauthorized access to any part of the Platform or another user's account;

(c)

Introduce viruses, malware, or any harmful code;

(d)

Reverse engineer, decompile, or disassemble any part of the Platform;

(e)

Scrape, crawl, or harvest data from the Platform using automated tools;

(f)

Impersonate any other user, school official, or Classment representative;

(g)

Transmit content that is harassing, defamatory, obscene, or violates the rights of others;

(h)

Use the Platform to advertise or promote products or services without written authorization; or

(i)

Bypass, override, or circumvent any security or authentication mechanism.

6.2 Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your access without prior notice.


7.Intellectual Property

7.1 All intellectual property rights in the Platform — including its design, software, code, features, logos, and documentation — are owned by or exclusively licensed to Classment Technologies Private Limited.

7.2 Classment grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose during your active subscription period.

7.3 You retain ownership of the content you upload (such as student records and school data), but grant Classment a non-exclusive license to store, process, and display such content solely as necessary to provide the services.

7.4 You may not copy, modify, distribute, publicly display, or create derivative works based on the Platform without prior written consent from Classment.


8.Student Data and Educational Records

8.1 Schools are responsible for the accuracy and completeness of all student records entered into the Platform. Classment processes student data as a data processor on behalf of the School, which acts as the data controller.

8.2 Student data shall be used exclusively:

(a)

To provide the Platform's academic management services;

(b)

To generate authorized reports for the School and Parents/Guardians; and

(c)

To improve Platform features through anonymized, aggregated analytics.

8.3 Classment will not sell, lease, or share identifiable student data with third parties for commercial purposes.


9.Fee Records

9.1 The Platform provides fee structure management and payment tracking as digital record-keeping tools only.

9.2 Classment does not facilitate, process, mediate, settle, or guarantee any financial payments. All transactions between Schools and families occur independently of the Platform through the School's own channels.

9.3 Fee records displayed on the Platform are provided for informational purposes only and reflect entries made by the School. Classment is not responsible for any inaccuracies in fee records if not updated by the School.

9.4 Classment is not responsible for disputes arising between Schools and families regarding fees, payments, or financial obligations of any kind.


10.Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand how we collect, use, store, and protect your personal information. In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy shall govern with respect to data processing activities.


11.Disclaimer of Warranties

11.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

11.2 Classment does not warrant that:

(a)

The Platform will operate uninterrupted or error-free at all times;

(b)

Data stored on the Platform is completely secure from loss or unauthorized access; or

(c)

Information or results generated by the Platform will be accurate in all cases.

11.3 Some jurisdictions do not permit certain warranty exclusions; in such cases, exclusions apply to the maximum extent permitted by applicable law.


12.Limitation of Liability

12.1 To the fullest extent permitted by applicable law, Classment, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.

12.2 Classment's total cumulative liability to any User in connection with the Platform shall not exceed the fees paid by the School for the Platform in the three (3) months preceding the event giving rise to the claim.

12.3 These limitations apply regardless of the theory of liability — contract, tort, statute, or otherwise — and even if Classment has been advised of the possibility of such damages.


13.Indemnification

You agree to indemnify, defend, and hold harmless Classment Technologies Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, awards, costs, or expenses (including reasonable legal fees) arising out of or relating to:

(a)

Your use or misuse of the Platform;

(b)

Your violation of these Terms;

(c)

Your violation of any applicable law or third-party right; or

(d)

Any content or data you submit to the Platform.


14.Termination

14.1 School Administrators may deactivate or remove individual user accounts at any time through the Platform's administration panel.

14.2 Classment reserves the right to suspend or terminate any user's access to the Platform if they violate these Terms, engage in fraudulent activity, or cause harm to the Platform, other users, or third parties.

14.3 Upon termination, your right to access the Platform ceases immediately. Classment may retain data for a period as required by applicable law or as outlined in the Privacy Policy.

14.4 School subscriptions may be terminated by the School or by Classment pursuant to the separate subscription agreement between the parties.


15.Governing Law and Dispute Resolution

15.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15.2 Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations between the parties.

15.3 If disputes are not resolved within 30 days of written notice, they shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The venue of arbitration shall be Bengaluru, Karnataka, India.

15.4 For matters not subject to arbitration, the parties submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.


16.General Provisions

16.1 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.2 Waiver: Failure by Classment to enforce any provision of these Terms shall not constitute a waiver of the right to enforce such provision in the future.

16.3 Entire Agreement: These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Classment with respect to the Platform.

16.4 Assignment: You may not assign your rights or obligations under these Terms without Classment's prior written consent. Classment may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
